1. Introduction
Vedric LLC ("Vedric," "we," "us," or "our") provides enterprise security software and services intended for organizational use only. These Terms of Service ("Terms") govern your access to and use of the Vedric platform, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
The Services are not intended for consumer or personal use.
2. Scope of Services
Vedric is a security platform that provides behavioral risk signals, insights, and preventive controls designed to help organizations reduce internal security risks.
You acknowledge and agree that:
- Vedric does not guarantee prevention of all security incidents
- Vedric does not replace existing security controls or infrastructure
- Vedric provides risk reduction capabilities, not absolute security
- Security outcomes depend on proper implementation, configuration, and organizational factors beyond our control
3. Acceptable Use
Vedric may only be used on company-owned or company-authorized systems. As a customer, you are responsible for:
- Providing appropriate notice to employees as required by applicable law
- Ensuring compliance with your internal policies and procedures
- Lawful deployment and use of the Services within your organization
- Maintaining the confidentiality of account credentials
- Ensuring that use of the Services complies with applicable employment, labor, and privacy laws
Vedric analyzes behavioral patterns for security risk assessment, not productivity or performance evaluation. You agree not to use the Services for purposes other than organizational security.
4. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Services will be uninterrupted, secure, or error-free
- The Services will prevent all security incidents
- The Services will meet specific compliance requirements
- Any results obtained from use of the Services will be accurate or reliable
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEDRIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of data, revenue, profits, or business opportunities
- Business interruption or operational losses
- Reputational harm or damage
- Security incidents or breaches
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VEDRIC'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO VEDRIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE WHERE PROHIBITED BY LAW.
6. Service Modifications
Vedric may modify, update, or discontinue features of the Services as the platform evolves. We will make reasonable efforts to notify customers of material changes that materially reduce functionality. Continued use of the Services after modifications constitutes acceptance of the updated Terms.
7. Termination
Either party may terminate these Terms upon written notice. Upon termination, your access to the Services will cease, and you must discontinue use of the platform. Sections relating to disclaimers, limitations of liability, and governing law shall survive termination.
Upon termination, Customer remains responsible for any outstanding fees incurred prior to termination.
Data handling following termination will be addressed in accordance with Vedric's Privacy Policy or any applicable written agreement.
8. Compliance
Vedric does not represent or warrant compliance with any specific regulatory framework unless expressly agreed in writing. The Services are designed with compliance considerations in mind, but customers are responsible for determining whether the Services meet their specific regulatory requirements.
9. No Professional Advice
The Services do not constitute legal, compliance, or regulatory advice. You should consult with qualified professionals regarding your specific legal and compliance obligations.
10. Assignment
Customer may not assign these Terms without Vedric's prior written consent. Vedric may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
